📋 Description

• Serve as the senior legal leader overseeing corporate governance, securities compliance and reporting, and mergers and acquisitions. • Advise the Company and lead legal strategy for complex transactions. • Ensure rigorous compliance with applicable corporate and securities laws and listing standards. • Lead Corporate Governance aspects including Board and committee support, governance policies, and best practices. • Oversee SEC compliance matters on securities laws, disclosure requirements, and insider trading policies. • Lead legal strategy and execution for M&A transactions including acquisitions and divestitures. • Build and lead a high-performing legal team, fostering a culture of excellence and accountability.

🎯 Requirements

• J.D. from an accredited law school and active bar membership in good standing. • 12+ years of legal experience, with a strong mix of law firm and in-house experience preferred. • Deep expertise in corporate governance, securities law, and M&A transactions. • Experience supporting a publicly traded company strongly preferred. • Proven ability to lead complex transactions and advise senior executives and boards. • Experience in the technology sector or other high-growth industries. • Familiarity with global compliance and cross-border transactions. • Track record of building or scaling legal functions. • Strong business judgment and the ability to translate legal risk into practical guidance. • Expertise in due diligence, negotiation, deal structuring, and transaction documentation. • Outstanding communication skills, including executive-level presentation and drafting clear disclosures. • Ability to manage complex projects, multiple stakeholders, and outside counsel to budget.
