• Lead and oversee M&A tax engagements, including but not limited to buy-side and sell-side due diligence, structuring, and post-acquisition integration. • Advise on transaction structures to optimize tax outcomes for corporate, individual, and partnership stakeholders. • Provide expert guidance on federal income tax implications of mergers, acquisitions, dispositions, reorganizations, recapitalizations, and restructurings. • Lead tax due diligence, while identifying opportunities and risks. • Partner with clients and their finance, legal, and private equity teams to drive deal execution. • Analyze and review asset purchase agreements, stock purchase agreements, and related transaction documents. • Manage and mentor a team of tax professionals, while fostering career development and technical excellence. • Collaborate with firm leaders to develop and expand the M&A tax practice, including but not limited to business development, marketing, and thought leadership initiatives. • Participate in Partner-level meetings, while contributing to strategic initiatives aimed at client service excellence, growth, and talent development. • Serve as a firm-wide resource on complex tax matters, including but not limited to Sections 1202, 338(h)(10), 754/743(b), 351, 382, and 355 analyses.
• Bachelor’s degree in Accounting, Finance, or related field (JD, LLM) (Master’s degree in Taxation strongly preferred) • CPA or admission to a state BAR (required) • Minimum of 10 years of experience in progressive tax, with significant exposure to M&A transactions • Have deep technical knowledge of federal income tax for corporations and partnerships, including but not limited to transactional tax structuring • Have proven experience advising corporate acquirers, private equity firms, and/or portfolio companies • Have strong leadership and team management skills, with a track record of developing and mentoring talent • Have exceptional communication skills, including but not limited to the ability to explain complex tax issues to non-tax audiences • Can thrive in a dynamic, fast-paced environment with multiple deadlines and priorities • Have demonstrated success in business development, client relationship management, and cross-functional collaboration.
