📋 Description

• Lead commercial transactions to closure in a prudent, expeditious and solutions-oriented manner • Draft, review and negotiate complex transaction agreements • Identify and mitigate issues and risks, explain contract risks, and develop practical alternatives supporting business objectives • Provide risk assessment and commercial legal advice regarding relevant laws and regulations • Exercise judgment and delegated authority on wide-ranging issues • Coordinate across internal organizations to resolve issues and ensure compliance with laws, regulations and company policies • Vet contract issues and requests, track responses, and draft resulting feedback • Prepare and administer escalations as necessary • Advise on existing contracts, contractual obligations and contract disputes • Develop and implement solutions to deal roadblocks through problem-solving, stakeholder alignment and negotiation • Project manage multiple deals to closure simultaneously • Present training to client groups on transaction legal issues and strategies • Improve the transaction support process • Partner with Sales, Delivery, Finance, Security, Privacy and executive leadership to structure transactions • Provide front-line support for global sales and strategic revenue-generating commercial transactions • Limited travel may be required

🎯 Requirements

• Demonstrated success in complex contract review, drafting and negotiation for sales/outsource transactions involving technology products/services • General understanding regarding data privacy laws and regulations and impact on commercial transactions • Experience with all aspects of commercial transactions, including basic financials and non-pricing business issues and contract terms • Familiarity with all phases of sales/outsource contracting from pre-contract Requests for Proposals/Bids through contract negotiation/execution and post-contract legal support • Experience contracting with state and local government clients • Experience interacting with sophisticated enterprise customers and third-party representatives • Ability to provide entrepreneurial, quick-thinking, pragmatic, business-oriented advice and recommendations • Excellent verbal and written communication skills, including ability to summarize issues to clients/management • Ability to counsel clients concerning legal and business risks while advancing negotiations • Ability to work independently with little supervision in a fast-paced environment • Ability to rapidly assess risks, benefits and consequences of business decisions • Project management and organizational skills to manage multiple/complex transactions • Ability to prioritize to meet deadlines • Initiative to develop, lead and implement special projects enhancing contracting processes • Strong work ethic and responsibility for high-quality work product • Ability to achieve results under pressure/deadlines • Ability to negotiate complex commercial agreements • Strong commercial judgment and ability to distinguish material risks from negotiable positions • Ability to balance legal, operational and financial considerations while supporting business growth and revenue objectives • J.D. from an accredited law school • Active bar admission in at least one US jurisdiction • 3–5 years of relevant and recent complex commercial transactions experience in an IT Managed Service Provider environment • Outsourcing and consulting contract experience required
