📋 Description

• Advise on all aspects of project financing, including tax equity, debt financing, and other capital structures. • Draft, review, and negotiate loan agreements, credit facilities, security documents, intercreditor agreements, and tax equity financing agreements. • Structure and negotiate residential solar fund transaction and ancillary documents. • Provide legal guidance on capital raises, joint ventures, and other transactions related to infrastructure and renewable energy projects. • Advise on risk management and mitigation strategies, particularly regarding financial structuring, tax implications, and contractual obligations. • Support due diligence efforts and corporate structuring issues. • Work closely with finance and tax teams to align legal strategy with business objectives. • Liaise with external counsel, lenders, investors, and regulatory bodies to facilitate transactions. • Provide internal training and guidance on best practices for project finance transactions and risk mitigation.

🎯 Requirements

• J.D. degree from an accredited law school and active bar membership in at least one U.S. jurisdiction. • 7+ years of legal experience with a focus on project finance, energy transactions, and infrastructure development (law firm and/or in-house experience preferred). • Strong knowledge of debt and equity financing structures, including tax equity and renewable energy credit markets. • Experience negotiating complex project agreements and financing documents. • Strong understanding of FERC, IRS, DOE, and state-level energy regulations, with the ability to interpret and apply knowledge to business decisions. • Applicants must be authorized to work in the US on a full-time basis.
