📋 Description

• Lead Procore’s legal activities on strategic transactions, including M&A, corporate venture investments, capital markets, corporate financing transactions, and related workstreams • Manage matters from inception through deal execution, including SEC disclosures, registration and periodic filings, post-closing integration, and other workstreams • Advise executives on high-visibility matters and align legal strategy with long-term corporate growth objectives • Translate complex legal risks into clear, actionable business recommendations for senior-level decision-making • Establish technology-forward operational frameworks, processes, and systems that support company growth and scale • Advise business team leaders on legal matters, consulting with the LRC Department and outside counsel as needed • Manage outside counsel budgets and performance • Monitor and advise on regulations, antitrust and global competition law, SaaS, cloud computing, and industry developments • Lead special projects and strategic initiatives, including international expansion efforts and complex cross-functional initiatives • Partner with Corporate Development, Investor Relations, Financial Reporting, Accounting, Tax, Treasury, and other global cross-functional teams • Report to the Vice President & Associate General Counsel, Corporate, Securities & M&A

🎯 Requirements

• 12+ years of relevant experience, including extensive M&A, venture, and general corporate experience • Experience gained at nationally prominent law firms and in-house legal departments, ideally at a SaaS or technology company • Must be admitted, active, and in good standing with the state bar where the position is located, or admitted elsewhere and registered or eligible to register as in-house counsel in that state • Functional knowledge of public company accounting, corporate finance, and tax matters • Facility with financial statements and GAAP and non-GAAP accounting • Passion for technology, including AI • Experience or strong interest in leveraging AI technologies such as Google Gemini, NotebookLM, and Harvey • Ability to manage shifting client demands and priorities in a fast-paced, global, high-growth environment • Exceptional business acumen, judgment, and discretion with highly sensitive information • Strong communication skills and ability to explain complex concepts simply • Outstanding interpersonal skills and ability to collaborate with stakeholders and influence without direct authority • Demonstrated track record of motivating and influencing internal and external stakeholders • Experience executing initiatives in a fast-paced, rapidly growing global sales environment • Detail-oriented, organized, efficient, resourceful, and capable of exceptional follow-through
