📋 Description

• Join the Legal Securities and Finance team • Interact with and support various groups across the company • Provide counsel on securities, corporate governance matters, corporate finance, and ESG matters • Draft Forms 10-K, 10-Q and 8-K as well as proxy materials • Prepare, manage and implement corporate governance and related policies • Advise on corporate finance matters • Stay up-to-date on external governance trends, securities law, NYSE regulatory updates, and ESG regulations • Provide legal training to members of management and business partners • Support corporate transactions, planning, assisting in due diligence, drafting, and negotiating public finance agreements

🎯 Requirements

• Juris Doctorate from an accredited law school • Seven (7) years of experience as a corporate law generalist with experience in Securities • Required licensure to practice law within at least one state • 3 years of experience drafting 34 act reports and security compliance • Demonstrated ability to perform successfully independently and cross-functional teams • Experience in M&A work • Be able to handle multiple projects in fast-paced environment • Excellent interpersonal, strategic thinking, communication, and organizational skills • Familiarity with the medical devices industry
