📋 Description

• Lead drafting and negotiation of commercial, marketing, market access, product launch, promotional, sales, advisory board, speaker bureau, patient assistance, patient advocacy, sponsorship, charitable contribution, and related agreements • Draft and negotiate pricing, distribution, specialty pharmacy, payer, reimbursement, value-based, and outcomes-based contracts, including cold-chain service levels for temperature-sensitive biologics • Support government program contracting involving Medicare, Medicaid, 340B, and VHCA • Review, negotiate, and draft Master Services Agreements, Statements of Work/Purchase Orders, and amendments for Commercial, Marketing, Market Access, and G&A functions • Develop template agreements supporting commercial activities • Advise on limited distribution networks for specialty drugs and exclusive provider arrangements with payors or PBMs • Ensure distribution practices comply with federal and state laws, DSCSA, FDA regulations, and GDP standards • Partner with commercial teams on reimbursement, prior authorization support, and co-pay assistance programs • Work with Compliance to ensure contracts comply with Company policies and laws including the False Claims Act, AKS, FCPA, GDPR, DOJ Bulk Data Rule, BIOSECURE Act, and transparency laws • Establish and serve on committees supporting Commercial/Marketing and Market Access activities • Provide legal advice on formulary placement and managed care agreements in U.S. and international markets • Monitor regulatory changes and pharmaceutical commercialization enforcement trends • Provide legal training for internal stakeholders • Develop, implement, review, and update contracting policies, procedures, and controls • Identify and evaluate transaction risks and propose alternatives that meet business goals while reducing Company risk • Communicate contract status and issues clearly and promptly to internal stakeholders and outside parties • Handle miscellaneous legal tasks and special assignments as needed • Perform all other duties as assigned

🎯 Requirements

• Juris Doctorate from an accredited law school • Admitted to a U.S. state bar in good standing • Minimum 8+ years of major law firm and/or relevant in-house pharmaceutical company experience • Extensive independent pharmaceutical contract negotiation and drafting experience • Strong understanding of contract law, commercial regulations, and industry standards • Experience supporting pharmaceutical product launches • Strong knowledge of federal and state healthcare compliance laws, regulations, guidance, industry codes, drug labeling, advertising, fraud and abuse, off-label promotion, product liability, and clinical trials • Precise drafting and strong legal analysis skills • Ability to communicate complex legal issues to senior management and non-legal stakeholders • Deep expertise in the Anti-Kickback Statute, Sunshine Act, and Prescription Drug Marketing Act • Excellent written and oral communication skills and professional manner • Business understanding and practical problem-solving ability • Ability to handle competing priorities in a fast-paced environment and exercise sound commercial and legal judgment • Self-starter able to work independently and collaboratively
