📋 Description

• Serve as commercial counsel for vendor and general commercial contracts across Upstart, including SaaS, data, auto dealer software, and other third-party agreements • Provide practical, risk-aligned guidance that keeps deals moving • Build understanding of Upstart’s products and vendor ecosystem • Collaborate with Procurement, Third-Party Risk Management, Information Security, Product, Finance, and other internal clients • Review, draft, and negotiate commercial agreements including master service agreements, software licenses, SOWs, data protection agreements, professional services agreements, and procurement contracts • Triage and manage deal tickets through tools such as Zip and Ironclad • Escalate issues to appropriate stakeholders and streamline intake, approvals, and closing processes • Create scalable playbooks, templates, and training for Procurement and business teams • Primarily support commercial legal work, with opportunity to support the Lending Partnerships team

🎯 Requirements

• J.D. degree with solid academic credentials • Active state bar membership required; NY or CA preferred • 5+ years of transactional practice experience at a law firm and/or in-house • Focus on technology and commercial contracts, including SaaS, data, and vendor agreements • Experience reviewing, drafting, and negotiating complex SaaS and technology/data agreements • Comfort with privacy, security, and data-use terms, including DPAs and information security exhibits • Ability to negotiate fast-moving, complex deals under timing pressure • Strong analytical judgment and ability to build consensus with internal and external stakeholders • Ownership to drive matters from start to finish • High standards for work product • Preferred: in-house experience at a fintech, financial services, or technology company • Preferred: experience leading and closing complex commercial negotiations • Preferred: strong communication skills translating complex legal and risk concepts for non-lawyers • Preferred: familiarity with AI, data issues, and unfamiliar areas of law
