📋 Description

• Draft, review and negotiate commercial agreements, including MSAs, SOWs, vendor and procurement agreements, SaaS and software licensing agreements, and technology services agreements • Prepare and negotiate NDAs, DPAs, purchase agreements and standard commercial terms and conditions • Support commercial partnerships by reviewing and negotiating product integration, platform and partnership agreements • Identify contractual risks and escalate complex legal issues • Collaborate with legal stakeholders to align agreements with commercial objectives and internal risk frameworks • Maintain contract templates, playbooks, clause libraries and standard negotiation guidance • Use AI-enabled contract review and data extraction tools to improve workflows and operational efficiency • Refine structured contracting processes by providing feedback that enhances AI models, playbooks and system outputs • Work cross-functionally with legal, procurement, sales, product, engineering and business teams • Manage multiple contracts and stakeholder priorities while maintaining quality and responsiveness

🎯 Requirements

• 2+ years of drafting, reviewing and negotiating a wide range of commercial agreements • SaaS contracting experience, including SaaS subscription, software licensing, technology services and data processing agreements • Experience working with sales teams, supporting deal cycles and helping close customer agreements quickly while protecting the business • Experience working in an in-house legal, contracts management, procurement, commercial or similar environment • Strong knowledge of commercial contracting principles across procurement, vendor and licensing agreements • Experience using contract templates, playbooks and standard negotiation guidance • Excellent attention to detail, with the ability to identify contractual risks and escalate issues appropriately • Strong commercial judgment and ability to balance business objectives with contractual risk • Ability to manage multiple priorities and adapt quickly across different industries, customers and contract types • Strong communication and stakeholder management skills, with experience collaborating across legal, sales, product, procurement and engineering teams • Experience using contract lifecycle management systems, legal technology or AI-enabled contract review tools is a plus
