📋 Description

• Join a legal team as the second corporate attorney, reporting to the Assistant General Counsel • Support governance for Human Interest Inc. and its subsidiaries • Manage board and stockholder actions, cap table and equity matters • Collaborate with Finance and People teams on executive compensation and equity administration • Oversee corporate finance activities, IPO readiness, and manage outside counsel on complex transactions • Negotiate and execute commercial agreements, support M&A and strategic transactions • Build scalable legal processes and playbooks

🎯 Requirements

• J.D. from an ABA-accredited law school • Active member of at least one U.S. state bar • 4+ years of corporate and securities experience, including in-house work at a high-growth company • Experience with equity administration, corporate governance for multi-entity structures, and a range of sophisticated financing arrangements. • Familiarity with public company reporting, regulated industries, and integration of AI tools into legal operations
