• Ensure compliance with the Companies Act, 2013, SEBI regulations (if applicable), FEMA, and other relevant Indian laws. • Maintain statutory registers, records, and minutes of Board and General Meetings. • Prepare and file required returns, forms, and resolutions with the Registrar of Companies(ROC) within statutory timelines. • Manage share allotments, transfers, issuance, and maintenance of share certificates. • Advise the Board on corporate governance, director responsibilities, and regulatory obligations. • Oversee preparation and submission of annual returns, financial statements, and director KYC compliance. • Act as the primary point of contact with regulators (MCA, RBI, etc.) and external legal counsel in India. • Develop, maintain, and monitor compliance calendars across jurisdictions. • Ensure timely submission of regulatory filings, returns, KYC, and due diligence documentation. • Oversee implementation and periodic review of internal policies (AML, data protection, HR, finance, etc.). • Coordinate with Finance, HR, and Operations to ensure segregation of duties and adherence to compliance frameworks. • Monitor and report on compliance risks and recommend corrective actions where necessary. • Oversight of contract review processes and collaboration with external legal advisors. • Draft, review, and negotiate commercial agreements with clients, vendors, and partners. • Provide legal support for fundraising activities, including equity investments and debt financing transactions. • Coordinate due diligence processes and prepare or review transaction documentation.
• Must be a qualified Company Secretary under the Institute of Company Secretaries of India (ICSI) and hold a LLB. • 5+ years’ experience in corporate secretarial, legal, or compliance roles (experience in cross-border or group structures preferred). • Strong understanding of Indian company law and experience with regulatory filings. • Familiarity with international compliance, governance, and risk management standards. • Excellent organizational skills, attention to detail, and ability to manage multiple jurisdictions. • Strong interpersonal and communication skills to work across functions and geographies. • Ability to operate independently, maintain confidentiality, and advise senior leadership.
