📋 Description

• Draft, review, redline, and negotiate customer agreements, including SaaS/subscription agreements, data use agreements, and business associate agreements • Review and negotiate vendor, supplier, and third-party service agreements, including software licenses, data processing agreements, and subcontractor BAAs • Maintain contract templates, playbooks, and negotiation guardrails with the General Counsel • Track contract obligations, renewal dates, and key terms; support contract lifecycle management processes • Assist in building, leading, and maintaining the corporate compliance program, including HIPAA/HITECH, state privacy laws, and AI regulations • Draft, revise, and implement privacy, information security, data governance, AI governance, vendor management, and incident response policies • Support policy rollout and training across the organization • Assist with compliance monitoring, internal audits, risk assessments, incident response, and breach investigations • Conduct legal research on healthcare regulation, health data privacy, and AI/algorithmic accountability • Monitor legislative and regulatory developments and translate findings into business guidance • Prepare legal memoranda on regulatory developments and business impact • Compile compliance reports, trackers, and dashboards for the General Counsel and leadership • Support board, audit, and compliance committee reporting • Provide day-to-day legal support to sales, product, engineering, HR, and marketing • Assist with corporate matters and legal projects assigned by the General Counsel • Manage or support outside counsel engagements

🎯 Requirements

• Juris Doctor (J.D.) degree from an ABA-accredited law school • Active license to practice law in good standing in at least one U.S. jurisdiction; Tennessee preferred, or eligibility for in-house/registered in-house counsel status in the state of employment • 1–4 years of relevant legal experience in a law firm, in-house legal department, or healthcare/technology regulatory environment • Strong legal research, writing, and analytical skills • Ability to translate complex regulatory requirements into clear, practical guidance • Excellent organizational skills and ability to manage multiple projects and deadlines independently • Professionalism, discretion, and sound judgment with sensitive and confidential information • Strong interpersonal and communication skills for cross-functional work with business, technical, and clinical stakeholders • Detail-oriented and able to work independently and collaboratively within a small legal team • Genuine interest in healthcare technology, clinical data, and artificial intelligence • Must successfully pass a background check • Must already be authorized to work in the United States on a full-time, permanent basis without current or future sponsorship • CIPP/US or similar privacy/compliance certification is a plus or willingness to obtain; not required
