📋 Description

• Maintain and update corporate minute books, organizational documents, ledgers, and registers in compliance with the Ontario Business Corporations Act (OBCA) and Canada Business Corporations Act (CBCA). • Prepare resolutions, director/officer changes, annual returns, and other corporate filings through Ontario Business Registry and Corporations Canada. • Support board and committee meetings by preparing agendas, meeting packages, resolutions, and minutes. • Assist with tracking and interpreting evolving digital-asset regulations from bodies such as the OSC • Prepare compliance filings, maintain internal controls, and support due-diligence workflows related to KYC/AML, restricted dealer requirements, and crypto-asset trading rules. • Support licensing applications, audits, and regulatory examinations. • Conduct basic legal research and gather background materials as directed. • Maintain confidentiality of sensitive company and employee information. • Draft and organize documentation for corporate transactions, financings, reorganizations, and early-stage investment rounds. • Coordinate and manage data rooms, due-diligence requests, and stakeholder communications. • Assist with contract lifecycle management for vendor agreements, technology integrations, and digital-asset infrastructure partners. • Work closely with cross functional teams to support new digital-asset products and corporate initiatives. • Assist in reviewing commercial agreements, NDAs, partnership agreements, and crypto-asset custody or liquidity arrangements. • Support process improvements, workflow automation, and tech integration within legal operations (e.g., contract tools, SharePoint, etc.). • Support the CCO with resolution of legal requests across departments • Liaise with internal stakeholders and external counsel as needed. • Communicate with external counsel, regulators, service providers, and auditors. • Coordinate execution, signature packages, and document-related requirements for corporate and commercial matters. • Provide timely responses to internal teams on corporate documentation and contract inquiries.

🎯 Requirements

• Post-secondary education in Law Clerk Studies, or related field (or equivalent experience). • 2–5+ years of experience as a Corporate Law Clerk, preferably in fintech, blockchain, securities, or high-growth tech environments • Strong understanding of OBCA/CBCA requirements, securities regulations, and corporate governance best practices. • Strong knowledge of MS Office Suite and document management systems. • Excellent organizational skills with the ability to prioritize competing deadlines. • Strong attention to detail and accuracy in all work. • Ability to work with discretion and maintain confidentiality. • Effective written and verbal communication skills. • Willingness to learn and will be flexible and accommodating given the nature of our business. • Team player with a proactive, solutions-oriented mindset • Ability to operate in a fast-paced, high-growth, innovation-driven environment.
