📋 Description

• Serves as subject matter expert on general corporate and securities matters • Supports the growth of AMSURG and assists in facilitating transactions across the organization, including drafting transaction agreements, leading negotiations, and performing and supervising due diligence. • Advises and collaborates with key leaders to help structure transactions, identify and mitigate legal issues, and assist in crafting solutions to protect the company's interests. • Conducts legal research and analysis to provide recommendations and prepares written opinions and guidance for management teams and other internal clients. • Supports corporate governance processes, including assisting with maintenance of governance policies and practices and preparation of board and committee materials. • Oversees entity management, structuring and compliance across the organization. • Provides legal support and guidance on commercial finance and tax matters. • Acts as a liaison between management and internal or external legal experts on matters beyond AMSURG Corporate Counsel – M&A and Corporate Affairs’ core substantive expertise. • Demonstrates commitment to the company’s corporate compliance program, policies, and procedures.

🎯 Requirements

• Licensed Attorney holding a J.D. • 5+ years’ experience as described, preferably in a healthcare environment. • High-level analytical, communication, and interpersonal skills • Excellent attention to detail and strong project management and organizational skills • Demonstrated ability to work under pressure while managing a variety of projects simultaneously • Agile and flexible thinker, with the ability to learn emerging areas of the law and the business • Ability to function independently and as part of a team • Ability to build credibility quickly and provide strong legal support for a complex and challenging business • Commitment to personal and professional growth, and receptivity to feedback. • Ability to thrive in a fast-paced, dynamic environment. • Ability to work a flexible schedule including some evenings and occasional weekends.
