📋 Description

• We’re looking for a full-time Capital Markets Attorney with strong Equity Capital Markets (ECM) experience to join our legal team. • Candidates must be NYC-based and available to work on a hybrid in-office schedule. • Provide legal support across a range of equity capital markets transactions, including IPOs, follow-ons, PIPEs, and block trades. • Partner closely with bankers, issuers, and internal teams to manage deal flow and execution. • Review, draft, and negotiate offering documents, underwriting agreements, and disclosure materials. • Advise on regulatory and compliance matters, including SEC, FINRA, and stock exchange rules. • Work cross-functionally with internal legal, compliance, and business teams to navigate deal-specific issues and maintain execution excellence.

🎯 Requirements

• JD with strong academic credentials and active bar membership in good standing. • Extensive experience working on equity offerings and public company transactions, ideally from a top-tier law firm or in-house at a financial institution. • Deep understanding of U.S. securities laws and regulations governing capital markets transactions. • Proven ability to manage multiple deals and stakeholders in high-pressure environments. • Strong drafting, analytical, and problem-solving skills.
