📋 Description

• Support deal structuring, negotiation, and drafting for project finance facilities • Assist with financing arrangements for joint ventures • Collaborate with the Finance team on term sheets and credit agreements • Support the formation and governance of joint ventures • Draft and negotiate joint venture and partnership agreements • Ensure compliance with OFAC, CFIUS, and FOCD requirements • Support investments and strategic transactions

🎯 Requirements

• J.D. from an accredited law school and an active license to practice law in at least one U.S. jurisdiction • 4+ years of experience in project finance, corporate, and/or transactional practice • Project finance for complex infrastructure or construction projects • Joint venture formation, governance, and joint venture finance structures • Excellent drafting and negotiation skills, with strong business acumen • Independently managing multiple matters in a fast-growing startup environment • Nuclear or energy industry experience is a plus.
