📋 Description

• Draft, review, and negotiate U.S. and international commercial technology agreements • Handle SaaS subscription agreements, cloud services agreements, software licenses, Statements of Work, professional services and implementation agreements, and partner, reseller, and OEM agreements • Advise business units and leadership on software and technology contracting, commercial risk, licensing issues, and regulatory considerations • Advise on data privacy and security requirements applicable to SaaS solutions • Support development and continuous improvement of contract templates, playbooks, and negotiation guidelines • Partner cross-functionally with Sales, Customer Success, Finance, Product, Security, and Compliance teams • Manage relationships with external counsel as needed • Monitor changes in U.S. and international privacy, technology, and commercial law and proactively advise the business • Participate in internal training, knowledge sharing, and process-improvement initiatives

🎯 Requirements

• J.D. from an accredited U.S. law school • Licensed to practice in at least one U.S. state • 4+ years of experience in commercial contracting, ideally in a SaaS or broader technology environment • Strong knowledge of software, cloud, data, and commercial contract law • Understanding of U.S. data privacy requirements, including CCPA/CPRA and state privacy laws • Familiarity with global privacy concepts; GDPR exposure is a plus • Excellent drafting, negotiation, and communication skills • Strong business judgment and ability to balance legal risk with commercial objectives • Ability to work independently and collaboratively in a fast-paced, dynamic environment • High integrity, attention to detail, and a practical, solution-oriented mindset • Located in the Pacific or Mountain time zones
