📋 Description

• Review, draft, and redline commercial agreements including MSAs, SOWs, NDAs, vendor contracts, and SaaS subscription agreements • Support the General Counsel in managing the contract pipeline, including status, deadlines, open items, and follow-ups • Conduct initial reviews of incoming customer and vendor contracts; flag non-standard terms and escalate as appropriate • Maintain and organize the contract repository; file, version-control, and provide access to executed agreements • Coordinate with outside counsel by preparing documents, managing communications, and tracking billing • Support responses to fraud inquiries, subpoenas, regulatory requests, and government correspondence • Assist with employment-related documentation, including offer letters, severance agreements, and policy updates, in coordination with HR • Conduct legal research on data privacy, cross-border regulatory requirements, and SaaS commercial norms • Educate internal stakeholders, particularly Sales, on contract standards, liability positions, and acceptable terms • Maintain and update legal playbooks, contract templates, and standard operating procedures • Manage and organize legal holds and related documentation • Help reduce contract turnaround time, outside counsel spend, deal friction, and exposure to unfavorable commercial terms

🎯 Requirements

• Paralegal certificate, law degree, or J.D. (non-practicing or pre-bar) • 2–5 years of experience in a legal, law firm, or in-house corporate legal environment • Strong working knowledge of commercial contract structures and common SaaS agreement terms • Experience reviewing, redlining, and negotiating NDAs, MSAs, and vendor agreements • Exceptional written and verbal communication; ability to translate complex legal concepts for non-legal audiences • Highly organized with strong attention to detail and ability to manage multiple priorities simultaneously • Proficiency with contract management tools, document management systems, and Microsoft Office / Google Workspace • Preferred: Experience supporting a General Counsel or senior attorney in a tech or SaaS company • Preferred: Exposure to data privacy regulations (GDPR, CCPA, SOC 2 context, HIPAA) • Preferred: Familiarity with cross-border commercial agreements (EMEA, APAC) • Preferred: Experience with e-signature platforms (DocuSign, Adobe Sign) and CLM tools • Preferred: Background in or exposure to cybersecurity, DLP, or workforce analytics industries
