📋 Description

• Support Trilitech’s in-house legal team on a flexible, as-needed basis • Review issuer documentation for tokenised real-world asset investment opportunities • Assess how the investor can exit investments and what recourse is available if issues arise • Review offering memoranda, prospectuses, token terms, subscription agreements, protocol and whitelisted-user agreements, and custodian/auditor assurance letters • Produce short, prioritised red-flag reports within a few days • Assess redemption rights and issuer discretion to refuse, delay or suspend redemptions • Analyse extraordinary-event and termination clauses and their impact on token holders • Assess whether reserve assets are segregated and bankruptcy-remote • Review limitations of liability and reliance waivers • Analyse transfer restrictions and their impact on exit options • Review governing law and dispute-resolution provisions, including offshore arbitration • Hold counsel-to-counsel calls with issuer lawyers • Negotiate side letters, including redemption commitments, MFN rights and information rights • Clarify ambiguous provisions before investment commitment • Work closely with Giti, who leads investment legal in-house • Workload varies according to deal flow

🎯 Requirements

• An associate or counsel from a fund formation, asset management or financial regulatory practice • Hands-on exposure to digital assets and tokenisation • Exposure to offshore fund structures • Able to turn a review around within a few days • Experience reviewing tokenised funds, commodities or other RWA structures from the investor side (nice to have) • Experience negotiating side letters (nice to have) • A concise, practical writing style suited to short red-flag reports rather than long-form memos (nice to have) • Freelance engagement paid hourly • Ability to work with offering memoranda, prospectuses, token terms and conditions, subscription agreements, protocol and whitelisted-user agreements, and tripartite or assurance letters • Legal knowledge of redemption rights, extraordinary-event and termination clauses, reserve assets, limitation of liability, reliance waivers, transfer restrictions, governing law and dispute resolution • UK work authorization and/or London-based or willingness to relocate are raised in the application form
