📋 Description

• Manage the full lifecycle of aPriori’s commercial agreements from intake, review, and redlining through execution, tracking, and repository maintenance • Administer and serve as power user of aPriori’s CLM system, currently Linksquare, ensuring configuration, currency, and adoption • Identify and implement AI-powered workflows, automation tools, and process improvements • Develop and maintain standard operating procedures for contract intake, review, negotiation, execution, and post-signature compliance • Partner with Deal Desk to ensure Order Documents, SOWs, and attachments are accurate, complete, and executed on time • Prepare fully negotiated agreements for execution by authorized signatories • Advise sales teams on standard contract terms and processes • Maintain and improve the contracts repository, including organization, tagging, and searchability • Enforce CLM data hygiene, metadata completeness, renewal and expiration tracking, and counterparty accuracy • Generate CLM reports and dashboards for Legal and Finance leadership • Review, redline, and negotiate customer-proposed MNDAs and other standard commercial agreements • Review customer redlines to SaaS Agreements, on-premises software agreements, SOWs, and Order Documents • Triage contractual and legal issues, resolving routine matters and escalating non-standard or high-risk matters to the VP of Legal • Track non-standard contractual commitments and customer exceptions, alerting stakeholders about required actions • Complete vendor onboarding forms, security questionnaires, and procurement questionnaires with internal teams • Support legal, commercial, and contractual responses to RFPs, RFIs, and similar procurement processes

🎯 Requirements

• 7+ years of hands-on commercial contracts experience in a technology company, law firm, or legal operations environment • Demonstrated experience managing SaaS or software licensing agreements • Deep familiarity with SaaS agreements, on-premises software licenses, NDAs/MNDAs, SOWs, and order documents • Ability to identify, explain, and resolve common negotiation points without attorney supervision • Working knowledge of GDPR, CCPA, and standard DPA structures • Hands-on experience administering or operating within a CLM platform such as Linksquares, Ironclad, Conga, DocuSign CLM, or Icertis • Demonstrated experience using AI tools to improve contract workflows and articulate specific tools and measurable outcomes • Exceptional written and verbal communication skills • Ability to work independently, prioritize under pressure, and exercise sound judgment about escalation • Meticulous attention to detail in contract review, data entry, and obligation tracking • Bachelor’s degree required • Paralegal Certificate from an ABA-approved program or equivalent professional certification strongly preferred • Experience at a fast-paced B2B SaaS company or enterprise software vendor is a plus • Experience supporting or collaborating with a sales deal desk in an enterprise B2B environment is a plus • Experience completing security questionnaires, vendor questionnaires, and RFPs for enterprise technology prospects is a plus • Occasional flexibility outside standard US business hours to support EMEA and APAC time zones
