📋 Description

• Prepare, oversee, and negotiate software licenses, services agreements, vendor contracts, and nondisclosure agreements • Advise on privacy, security, data protection, legal, and compliance matters • Manage the company’s legal activities to protect its interests and advise managers on applicable laws and regulations • Develop policies and resolve disputes • Manage all documents through the legal process • Prepare and review proposed contracts, formal agreements, and other legal instruments • Manage license compliance and customer audits • Manage daily software licensing and software contract activities • Partner with Sales, Finance, Operations, leadership, and other internal teams on legal matters and contract disposition • Support strategic business initiatives and work closely with the Senior Corporate Counsel

🎯 Requirements

• J.D. from an accredited law school • Active membership in good standing with a U.S. state bar • All candidates must have JD from an accredited law school and current bar membership • Member in good standing of a State Bar - Arizona • At least 2 years of software licensing and commercial contracting experience • A minimum of 3 years of legal experience • Software licensing and service contract experience; in-house experience a plus • General knowledge of laws and regulations applicable to corporations and software companies • Experience with software law, IP rights, employment law, and compliance regulations, licensing, and commercial transactions • Knowledge of financial revenue recognition rules • Strong negotiation, communication, business partnership, business acumen, presentation, decision making, human relations, time management, and organizational skills • Ability to work with various levels of the company, including senior management • Detail oriented and adaptable to changing business needs
