Circular Action Alliance is a nonprofit, producer-led Producer Responsibility Organization (PRO) that coordinates and implements extended producer responsibility (EPR) and stewardship programs for paper and packaging across multiple U. S. states. CAA provides harmonized compliance services, producer registration and reporting, program administration, and stakeholder engagement to advance an efficient, effective circular economy for packaging materials.

📋 Description

• Draft, negotiate, implement, and manage the lifecycle of commercial agreements supporting EPR programs • Support and scale a high-volume contracting environment with a focus on efficiency • Lead end-to-end contract lifecycle activities, including intake, drafting, negotiation, execution, amendment, and termination • Develop and continuously improve contract templates, fallback positions, and playbooks • Identify and mitigate commercial risks involving indemnity, liability caps, data rights, termination rights, and regulatory obligations • Lead implementation and ongoing support of the contract lifecycle management system, including workflows, processes, metadata, and reporting • Track and report contract metrics such as cycle time, volume, and risk trends • Advise business teams on contract strategy, risk allocation, and negotiation positions • Own contract compliance processes and governance, including recordkeeping and audit readiness • Provide legal analysis on regulatory requirements affecting contract terms, obligations, and program implementation • Draft legal memoranda and summaries for internal decision-making • Assist with organizational compliance with applicable laws, regulations, and contract commitments • Report to the General Counsel • Support Circular Action Alliance’s mission to reduce waste and promote a circular economy through EPR programs

🎯 Requirements

• Juris Doctor (J.D.) from an accredited U.S. law school • Active bar membership in good standing in at least one U.S. state • 5+ years of experience with a primary focus on commercial contract drafting and negotiation (law firm or in-house) • Strong legal research, writing, and analytical skills • Excellent organizational skills and ability to manage multiple deadlines in a fast-paced, evolving environment • Demonstrated experience negotiating complex commercial agreements • Experience with CLM systems is strongly preferred, ideally Ironclad • Experience structuring and negotiating complex commercial transactions • Strong commercial judgment and risk assessment • Advanced contract negotiation skills • Ability to balance legal risk with business objectives • Experience managing high-volume contract workflows • Hands-on experience with CLM tools and contract process optimization • Highly detail-oriented with precision in drafting and issue spotting within complex agreements • Strong organizational and problem-solving skills • Excellent communication skills and ability to translate legal concepts to non-legal stakeholders • Proactive, collaborative, adaptable, and team-oriented • Comfort working in a lean, entrepreneurial, and mission-driven organization
