📋 Description

• Lead the global entity management function across the full lifecycle of domestic and international legal entities • Manage U.S. and international legal entities and ensure jurisdictions remain in good standing • Maintain entity data and manage filings, licenses, tax registrations, and compliance obligations • Form new entities, file registrations and licenses, and establish bank accounts and local service providers • Maintain and update the company’s organizational chart • Maintain centralized entity and governance data and oversee data quality, documentation accuracy, and audit readiness • Communicate with stakeholders, service providers, registered agents, and regulatory agencies to ensure timely compliance • Prepare and maintain board and shareholder resolutions, written consents, minutes, and governance documents • Support board meetings, annual general meetings, and corporate proceedings across multiple time zones • Manage powers of attorney, authorized signatory lists, notarization, apostillization, and legalization requirements • Partner with tax, treasury, and finance teams on entity structuring, intercompany transactions, and transfer pricing documentation • Coordinate with outside counsel and local agents regarding foreign corporate law and regulatory requirements • Support M&A, joint venture, and restructuring transactions through entity-level due diligence, integration, and post-closing obligations • Support professional licensing efforts and address entity-related inquiries • Streamline entity management workflows using technology • Develop standard operating procedures, templates, and best-practice guides • Generate reports on entity portfolio status, compliance health, and upcoming deadlines • Serve as primary contact for registered agents, regulatory agencies, outside counsel, and internal stakeholders • Support Legal team members and employees on other assigned tasks

🎯 Requirements

• 3+ years in corporate paralegal, entity management, compliance, and/or legal operations fields • BS/BA from an accredited university preferred • Equivalent work experience will be considered • Proficiency with Microsoft Office Suite • Experience in the project management and advisory, construction, or energy industries desirable • Experience managing entities across multiple international jurisdictions desirable • Working knowledge of corporate governance principles, statutory compliance requirements, and regulatory filing procedures desirable • Proficiency with Cogency or other entity management providers or software desirable • Experience with Sam.gov registrations, renewals, and filings desirable • Experience in professional licensing desirable • Highly organized and structured, with the ability to juggle multiple priorities • Excellent oral and written communication skills • Ability to work independently with minimal guidance • Ability to handle confidential and sensitive information with discretion and integrity • Comfortable with, or interested in learning about, new technologies and software, including generative and agentic artificial intelligence • Professional demeanor, high level of integrity, good judgment, attention to detail, and effective problem-solving • Alignment with the company’s core values and guiding principles • Self-motivated, proactive, and resourceful
