📋 Description

• Ensure compliance with securities laws, rules, regulations, and Nasdaq listing requirements • Provide legal oversight of public disclosures, including 10-Ks, 10-Qs, 8-Ks, earnings calls, investor relations-related disclosures, and corporate press releases • Support administration of equity programs, including preclearance processes, corporate and insider 10b5-1 plans, insider trading compliance, dual-class stock matters, Form S-8, and Section 16 filings • Support quarterly and ad hoc Board and Committee meeting processes • Ensure corporate governance best practices • Manage planning and execution of the annual stockholder meeting, including preparation of proxy statements • Advise on shareholder-related matters • Assist with registered and unregistered securities offerings and complex strategic initiatives • Develop and implement corporate policies and procedures • Draft compliance certificates • Advise on director and officer matters • Provide general advice and counsel to Finance, Accounting, Equity Administration, Compensation, Corporate Development, Tax, Insurance, and Investor Relations teams • Report to the senior corporate securities counsel

🎯 Requirements

• 5+ years of experience as a corporate securities and/or executive compensation and benefits lawyer, working in-house at a public company, at a law firm, or a combination of both • Experience with equity programs and processes, including unique equity award structures, related reporting requirements, and coordination with Equity Administration teams • Excellent verbal and written communication skills • Ability to synthesize and present complex ideas simply and understandably to employees at all levels and external stakeholders • Experience creating clarity and bringing focus and direction to important priorities, mitigating significant risks, and delivering impact • Ability to foster empathy, collaboration, and mutual respect • Comfortable working in a fast-paced, high-energy environment and navigating ambiguity • Intellectual curiosity and humility • Willingness to embrace the development and use of AI to drive efficiencies and build leverage
