• Shape and execute Duo Health’s legal strategy and strengthen its compliance framework. • Identify and mitigate business and regulatory risks across the organization. • Provide strategic legal advice and support to executive and senior leadership on corporate governance, regulatory compliance, employment law, contracts, and risk management. • Summarize important legal and regulatory issues annually that may affect Duo Health. • Lead and oversee negotiation of complex commercial agreements, including payer/provider, strategic partnership, vendor, technology, and healthcare-related contracts. • Provide legal oversight for contract strategy, risk allocation, and business terms. • Advise on federal and state laws impacting the organization, including HIPAA and privacy laws, and monitor regulatory and legislative activity. • Support board and committee activities and governance requirements. • Advise on employee relations, workplace policies, and employment disputes. • Manage litigation matters and outside counsel relationships. • Develop, implement, and maintain a comprehensive compliance program, policies, and processes. • Establish and administer annual compliance training. • Review the OIG work plan and provide quarterly and annual updates to leadership as needed. • Align security, privacy, and compliance programs and measure adherence to internal policies and practices. • Perform privacy risk assessments, mitigation, and remediation. • Manage privacy breach determination and notification processes under HIPAA and applicable state regulations. • Oversee patient rights concerning inspection, amendment, and restriction of protected health information. • Lead compliance monitoring, audits, investigations, corrective action plans, and risk assessments. • Support internal audits, investigations, issue resolution, and risk mitigation activities. • Provide compliance guidance and education to employees. • Foster integrity, accountability, and ethical decision-making. • Own and manage vendor intake, due diligence, risk assessments, and legal/compliance review. • Maintain visibility into vendor agreements, renewals, obligations, and risks. • Partner with HR leadership on employee relations, employment law, workplace policies, investigations, and scalable HR processes. • Ensure alignment between legal, compliance, and people practices.
• J.D. degree from an accredited law school. • Active license to practice law in at least one U.S. jurisdiction. • 8+ years of legal experience, with significant experience in healthcare, healthcare technology, life sciences, or another highly regulated industry. • Experience reviewing and negotiating commercial agreements. • Strong understanding of healthcare regulatory requirements and compliance principles. • Excellent written and verbal communication skills with the ability to translate legal concepts into practical business guidance. • Strong experience supporting healthcare providers, healthcare technology companies, and/or value-based care organizations. • Strong knowledge of federal and state privacy and compliance regulations, including HIPAA. • Strong knowledge of federal and state healthcare-based laws and regulations. • Strong technical expertise in interpreting applicable regulations and implementing guidance in a corporate environment. • Experience supporting HR, employee relations, or people operations highly preferred. • Detail-oriented with strong analytical and problem-solving skills. • Ability to prioritize work and remain flexible in a results-driven, fast-paced, growth-oriented emerging company. • Ability to self-direct and work independently while showing self-initiative. • Strong relationship management and interpersonal skills, including optimism, diplomacy, responsiveness, and authenticity. • Certification in Healthcare Compliance (CHC) or Certification in Healthcare Privacy Compliance (CHPC) preferred.
