📋 Description

• Lead legal work for acquisitions, strategic investments, joint ventures, and other corporate transactions through the full lifecycle • Manage post-closing integration and transaction structure • Partner with Finance and Operations on deal strategy and execution • Support fundraising, including diligence, financing documents, side letters, investor rights, and outside counsel coordination • Partner with Finance and People on equity programs, including option and RSU grants, plan amendments, cap table hygiene, 409A processes, secondaries, and tender offers • Work with Finance, Tax, and Operations on global expansion • Advise on securities law matters for a fast-scaling private company • Support corporate governance and entity work, including approvals and subsidiary formation • Design and improve templates, playbooks, diligence checklists, approval workflows, and signing and closing infrastructure • Provide pragmatic, commercially focused legal advice to cross-functional teams • Work closely with the General Counsel and broader Legal Team

🎯 Requirements

• J.D. • Active membership in at least one U.S. State Bar • 6+ years of relevant post-qualification legal experience at a major law firm, a high-growth technology company, or both • Proven experience drafting and negotiating M&A and investment documents, including purchase agreements, term sheets, disclosure schedules, ancillary deal documents, and post-acquisition integration • Substantive experience with venture or growth-stage financings and related securities law questions • Working knowledge of equity compensation, including plan administration, grant mechanics, secondaries, and tender offers • Strong corporate generalist, governance, and entity experience • Excellent communication, stakeholder management, and problem-solving skills • Comfort working in fast-paced environments with shifting priorities and tight deadlines • Public company experience strongly preferred • Curiosity about AI and emerging technologies • Ability to manage ambiguity and make timely decisions • Ability to manage several live deals concurrently • Ability to work independently with cross-functional and global colleagues • Proactive, business-minded approach focused on practical solutions
