📋 Description

• Independently draft, review, and negotiate employee benefits vendor and service agreements, amendments, and renewals • Address service commitments, fees, data use, confidentiality, liability, indemnification, termination, and compliance obligations • Identify benefits-related regulatory and contractual issues and coordinate with privacy and security partners • Engage specialized benefits counsel on complex plan, tax, or fiduciary matters • Lead healthcare regulatory legal reviews of products, features, programs, and partnerships from concept through launch • Translate complex requirements into clear recommendations, practical alternatives, and safeguards • Assess federal and state healthcare requirements involving pharmacy, telehealth, professional licensure, corporate practice of medicine, healthcare fraud and abuse, referral arrangements, and consumer-facing healthcare activities • Review proposed AI tools, vendors, features, and use cases with Product, Engineering, Privacy, Information Security, and Compliance • Evaluate AI healthcare regulatory implications, intended use, data handling, transparency, human oversight, and contractual protections • Develop and apply AI review criteria and approval processes • Document recommendations and escalate novel, high-impact, or unresolved risks • Triage incoming contracts and regulatory projects, clarify scope, identify risks and dependencies, recommend priorities, and coordinate ownership • Manage assigned matters through completion and communicate status and timing • Exercise independent judgment on significant and ambiguous issues and recommend actionable paths • Monitor legal and regulatory developments and recommend updates to contracts, product requirements, internal guidance, and review practices • Develop templates, contract playbooks, review checklists, and training • Serve as a trusted subject matter resource and contribute to cross-functional initiatives and other legal matters • Review and comply with company safety and security policies and procedures

🎯 Requirements

• Juris Doctor from an accredited law school • Active membership in good standing with at least one U.S. state bar • Eligibility to practice in the jurisdiction required for the role • At least 8 years of relevant legal experience in a law firm, in-house legal department, or a combination • Substantial healthcare regulatory counseling experience • Commercial contract drafting and negotiation experience • Experience reviewing employee benefits vendors or service agreements • Ability to identify issues requiring specialized benefits, privacy, or security expertise • Experience advising healthcare, digital health, or technology businesses on product development, commercial arrangements, and applicable regulatory requirements • Ability to independently manage complex, novel matters and evaluate incomplete information • Strong negotiation, legal research, writing, and communication skills • Ability to influence stakeholders and build effective cross-functional relationships • Ability to prioritize varied workloads and coordinate multiple reviewers • Ability to improve legal processes in a fast-moving environment • Familiarity with ERISA and HIPAA requirements, as relevant to contracts and product reviews, is preferred • Familiarity with third-party benefits administration is preferred • In-house experience at a healthcare technology, pharmacy, telehealth, or consumer healthcare company is preferred • Experience evaluating AI-enabled products, enterprise AI tools, or AI vendor agreements and supporting AI governance processes is preferred
