📋 Description

• Provide strategic and scalable legal guidance across Hello Heart’s product portfolio, including its FDA-cleared heart monitor, mobile app, AI-powered health insights, and AI medication assistant • Lead negotiation of customer-facing contractual provisions concerning data rights, AI and machine learning usage, product functionality, and operational restrictions • Advise on terms of service, disclosures, disclaimers, and other legal protections • Advise on collaborative practice agreements, management services organization regulatory structure and compliance, fee-splitting, and corporate practice of medicine restrictions • Guide data privacy, HIPAA, consumer protection, and product-operation risk matters with Compliance • Draft, review, and negotiate customer agreements, amendments, statements of work, and other customer-facing arrangements • Review existing agreements regarding data usage rights, data ownership, and contractual obligations • Own and maintain member-facing terms, disclosures, and legal documentation; advise on product liability risk • Support responsible AI governance, including customer-specific requirements, contractual commitments, transparency obligations, and escalation of legal issues • Advise on telehealth, pharmacy review, health information exchange data, state-specific consent language, disclosures, disclaimers, notices, and related agreements • Provide strategic guidance on intellectual property, including patent portfolio management, trade secrets, open-source compliance, and IP provisions • Monitor industry trends, case law, enforcement actions, and litigation developments involving AI in healthcare, FDA requirements, telehealth, Medicare, Medicaid, digital health IP, and data rights • Advise on health plan customer relationships and Medicare Advantage, Medicaid managed care, and ACA marketplace requirements • Advise on Federal Acquisition Regulation and Defense Federal Acquisition Regulation Supplement compliance for government contracts • Report to the General Counsel and partner with Product, Engineering, Clinical, Data Science, Sales, Client Support, Compliance, Security, and other teams

🎯 Requirements

• Strong AI fluency, including use of AI tools and agent-based workflows for legal research, risk assessment, drafting, process design, and cross-functional execution • 15+ years of legal experience in healthcare, digital health, or health technology • Experience leading teams or workstreams focused on product counseling, commercial transactions, litigation, and compliance-related enforcement risk • Experience advising on product development, regulatory submissions, technology-related legal matters, and consumer-facing product disclosures and terms of service • Experience with FDA-regulated software, Software as a Medical Device, or digital health products strongly preferred • Familiarity with AI and machine learning governance frameworks, responsible AI principles, healthcare AI regulation, and AI-related contractual commitments and negotiations • Significant experience with HIPAA, FDA software, AI and machine learning technologies, FTC health data enforcement, Medicare, Medicare Advantage, Medicaid managed care contracting, corporate practice of medicine structures, data rights, consumer protection, and healthcare litigation and enforcement risk • Experience drafting and advising on terms of service, disclosures, disclaimers, consent language, notices, and other consumer-facing legal documentation in regulated healthcare or technology environments • Juris Doctor from an accredited United States law school • Active license in good standing with a state bar • Experience negotiating and structuring agreements with health plans, including managed care organizations, Medicare Advantage plans, or Medicaid managed care plans strongly preferred • Law firm experience or in-house experience at a health technology or digital health company preferred • Ability to quickly absorb new information, internalize feedback, and apply sound judgment in evolving regulatory environments • Excellent written and verbal communication skills • Ability to provide clear, practical guidance in a distributed environment and collaborate with Compliance, Privacy, Security, Product, and Commercial stakeholders
