📋 Description

• Independently review, redline, and negotiate commercial agreements, including SaaS subscriptions, Master Services Agreements, Statements of Work, NDAs, Data Processing Agreements, and Business Associate Agreements • Apply company playbooks, fallback positions, and standardized guidelines during negotiations • Support Sales and Procurement teams with contract structures, renewal terms, billing triggers, and order form details • Review data privacy, security, SLA, and liability terms against company policies and healthcare standards • Escalate non-standard legal risks to managing attorneys • Maintain and update contract templates, clause libraries, and negotiation playbooks • Improve data entry and workflow efficiency in the Contract Lifecycle Management system • Coordinate with Security, Privacy, Finance, and Customer Success to collect approvals and align terms with operational capabilities • Maintain accurate contract records • Track contract metrics, including turnaround times and request volumes • Assist with audit readiness and reporting • Educate Sales and Procurement teams on legal intake procedures, contracting policies, and template usage

🎯 Requirements

• Bachelor's Degree in Legal Studies, Business or a related field, or Paralegal Certification required • 6–10+ years of commercial contracting or paralegal experience • Experience supporting SaaS or technology transactions • Experience drafting, reviewing, and negotiating commercial agreements • Understanding of commercial contract provisions, including liability, indemnity, data protection, and service levels • Strong stakeholder management skills • Analytical and risk assessment capabilities • Strong written and verbal communication skills • Experience with contract lifecycle management tools • Experience in healthcare technology or regulated industries, a plus • Experience supporting global contracting, preferred • Experience in mid-size or public technology companies, preferred • Knowledge of data privacy frameworks such as HIPAA and GDPR, preferred • CLM platform experience such as Ironclad, Agiloft, or Conga, preferred
