📋 Description

• Lead the legal execution of M&A transactions from LOI through diligence, negotiation, signing, closing, and post-closing legal matters • Advise on transaction structure, key terms, and risk • Serve as primary legal partner to Corporate Development and trusted advisor to senior leadership on acquisitions, investments, financings, corporate restructurings, and strategic initiatives • Lead drafting and negotiations while coordinating internal stakeholders and specialist advisors • Develop playbooks and infrastructure for less complex corporate transactions • Manage and develop the corporate legal team, beginning with a Corporate Counsel • Set priorities, delegate, coach, provide performance feedback, and support hiring and onboarding • Oversee subsidiary governance, entity management, and corporate housekeeping • Oversee post-closing legal work, including governance updates, entity consolidation, intercompany agreements, and outstanding obligations • Direct outside counsel relationships and forecast legal resourcing needs and spend • Build repeatable practices for M&A and other corporate transactions • Oversee legal readiness for fundraising, financing, and strategic transactions • Partner with Finance, Accounting, Compliance, People, and other business teams on practical legal recommendations • Identify and address material risks, drawing on healthcare regulatory specialists • Perform other duties as assigned

🎯 Requirements

• Juris Doctor (JD) from an ABA-accredited law school • Active license to practice in at least one U.S. jurisdiction • Significant corporate and M&A experience • Demonstrated track record leading complex transactions from initial structuring through closing • Strong M&A training gained at a law firm, or comparable experience within a large organization with a complex subsidiary and entity structure • Experience leading transactions in the high eight- to nine-figure range, or a substantial volume of transactions demonstrating comparable complexity and responsibility • Formal experience managing and developing lawyers or other legal professionals, including setting expectations, evaluating performance, and providing actionable feedback • Ability to lead deals with substantial autonomy, direct outside counsel, and coordinate multiple transactions and stakeholders in a fast-moving environment • Strong business judgment and ability to advise senior executives on transaction structure, negotiating positions, and legal risk • Strong foundation in corporate governance, entity management, capitalization matters, and financing diligence • Experience developing processes, playbooks, or systems that improve legal work quality, consistency, and efficiency • Clear, responsive communication and strong follow-through • Healthcare M&A or experience in another regulated industry is a strong plus, but not required
