📋 Description

• Draft and revise commercial contracts, amendments, order forms, statements of work, confidentiality agreements, legal letters and internal policy documents • Read, interpret and explain contracts and legal documents, identifying obligations, termination and renewal mechanics, pricing and fee terms, and inconsistencies • Prepare written summaries and recommendations for counsel and business owners • Escalate novel, high-risk or ambiguous issues with proposed resolutions • Review contract redlines across Premier’s supply chain service lines and identify substantive changes, departures from approved positions and unacceptable risk shifts • Lead negotiations with business counterparts and counterparty representatives • Participate in complex negotiations alongside attorneys and business owners • Track open issues, deal status and turnaround commitments • Serve as a point of contact for sourcing, operations and member field teams • Translate business objectives into contract language and legal risk into business terms • Develop and maintain contract templates, clause libraries, fallback positions and negotiation playbooks • Improve contracting processes and intake • Maintain accurate contract records in the contract lifecycle management system • Respond to inquiries from Premier members and suppliers • Support special projects as needed • Perform other related duties to meet organizational needs

🎯 Requirements

• 5 or more years of applicable experience (required) • Bachelor’s degree (required) • Experience in contract drafting, review and negotiation • Drafting, redlining and interpreting commercial contracts and other legal documents • Leading and participating in contract negotiations • Clear, precise, plain-English business and professional writing; writing samples will be requested • Ability to collaborate with attorneys, sourcing professionals and representatives of large health systems and corporations • Ability to articulate the business case driving contractual engagements and present information effectively to senior management and contracting staff • Good business and financial acumen • Working knowledge of commercial contract law concepts and healthcare regulatory considerations affecting GPO contracting • Ability to meet deadlines, adapt and change priorities quickly • Attention to detail • Ability to operate computer programs and software • Ability to communicate effectively in person and electronically • Ability to make independent decisions • Ability to work collaboratively in a business environment • Must remain stationary for prolonged periods and perform sedentary work
