• Assist Teamshares’ legal team with various legal projects and responsibilities • Support obligations as a publicly traded company, including Section 16 filings, Exchange Act and Nasdaq compliance, D&O questionnaires, insider trading policy administration, equity plan administration, and Board and annual meeting logistics • Help manage acquisition closings, including stock purchases, asset purchases, and mergers • Coordinate and review diligence deliverables such as lien, UCC, and title searches • Draft and negotiate ancillary transaction documents • Iterate on document management and legal compliance systems for network companies • Implement and maintain employee ownership programs, including equity administration and cap table maintenance • Develop strategies to improve the acquisition process • Collaborate with the product development team to leverage software for efficiency and scale • Support corporate governance for Teamshares and subsidiaries, including Board and committee materials, resolutions, consents, good standing certificates, minute books, and equity records • Form new subsidiaries and prepare formation documents, organizational resolutions, and IRS Form SS-4 applications • Support routine litigation and pre-litigation matters, including wage garnishments, income withholding orders, HR/payroll compliance, deadlines, and litigation files • Manage registered agent, filing agent, and vendor relationships • Maintain the contract repository, compliance calendar, and intellectual property docketing
• 8+ years of paralegal experience • M&A transaction experience gained in a law firm setting and on the in-house legal team of a publicly traded company • A paralegal degree, certificate or similar training is preferred, but not required • Strong communication and organizational skills • Exceptional verbal, written and interpersonal communication capabilities • Ability to take initiative and ownership of work streams and work independently • Ability to manage and drive an M&A closing process • Capability forming legal entities, including filing formation or incorporation documentation and SS-4s • Prior experience drafting Board and Shareholder/Member Consents • Experience with routine litigation and pre-litigation matters is a plus • Experience supporting corporate governance and public-company compliance functions is a plus • Notary public commission is a plus • Familiarity with legal technology and contract management tools is a plus
