📋 Description

• Provide legal advice to business stakeholders across multiple geographies • Draft, review, and negotiate commercial agreements, including software licensing, SaaS, services, supplier, reseller, distribution, and NDA agreements • Review and negotiate RFPs, public and private tenders, and related terms and conditions • Apply risk management techniques and provide practical legal and strategic advice • Review contracts and subcontracting arrangements and interface with customer and vendor contracting personnel • Work with management, sales, finance, and operations teams to structure contracts • Manage, direct, and mentor the Contracts Manager and Compliance Manager • Plan and oversee team activities and competing priorities • Assess contract risks and ensure compliance with law, company policies, government specifications, and business goals • Research multiple jurisdictions and improve contract processes and templates • Maintain accurate contract files and communicate legal and contract information to stakeholders • Support M&A and portfolio-acquisition activity, including due diligence, transaction documents, and post-close integration • Assist with policy development and training • Advise on data protection and privacy compliance, including UK/EU GDPR and US state privacy laws • Manage disputes, claims, and litigation with external counsel • Support corporate governance and compliance

🎯 Requirements

• 5–10 years of related legal experience in an international law firm or in-house legal department • A university degree in law (e.g. JD or equivalent) is required • Must be admitted to practice / called to the Bar in Canada or the United States and be in good standing • Strong commercial law skills and experience • Familiarity with software licensing agreements, public procurement, and contract negotiation • Experience working with public agencies and navigating public procurements • Previous experience at a technology or software company, with IT contracts, government procurement, software licensing, or SaaS agreements • Experience supporting M&A transactions, a plus • General familiarity with data protection and privacy laws, a plus • Strong verbal, written, and problem-solving skills • Ability to use Claude, ChatGPT and other AI tools • Ability to prioritize and manage time efficiently • Strong attention to detail • Excellent interpersonal and collaborative skills • Ability to work across multiple companies and jurisdictions
