📋 Description

• Provide advanced transactional support for real estate, corporate, finance, municipal, and mergers and acquisitions practices • Independently manage significant transaction responsibilities from inception through closing and post-closing administration • Assist with commercial real estate transactions, due diligence, title and survey reviews, leases, financing, and closing documentation • Draft, review, and analyze purchase and sale, lease, loan, tax, escrow, corporate, and related transactional documents • Prepare closing checklists, critical-date timelines, title materials, closing statements, affidavits, entity authorizations, escrow instructions, and closing binders • Coordinate transaction documentation and closings with attorneys, clients, lenders, title and escrow companies, consultants, governmental agencies, opposing counsel, brokers, and vendors • Conduct legal, public-record, real-property, corporate, tax, lien, UCC, title, lease, license, and contract research • Organize business entities and prepare incorporation, merger, acquisition, dissolution, governance, UCC, and related filings • Maintain corporate records, minute books, capitalization information, tickler systems, and entity-management databases • Use approved AI and legal technology platforms for document review, summarization, abstraction, comparison, analysis, due diligence, and workflow automation • Administer virtual data rooms and electronic transaction closings; maintain dashboards, diligence matrices, issue lists, schedules, reports, and transaction documentation • Validate AI-generated work product and collaborate on legal technology and process improvements

🎯 Requirements

• 7 or more years of experience as a transactional paralegal • B.A. or B.S. degree from an accredited college or university, or equivalent experience • Paralegal certificate from an ABA approved program or an affidavit of work experience sufficient to comply with California Business and Professions Code Sections 6450–6456 • Advanced knowledge of commercial real estate transactions, corporate governance, business entity management, finance transactions, and mergers and acquisitions • Experience managing complex due diligence reviews and large-scale transactional document collections • Proficiency with virtual data room platforms, electronic signature platforms, transaction management systems, entity management software, and corporate governance platforms • Familiarity with AI-assisted contract review, document abstraction, due diligence review, transaction management, and workflow automation technologies • Ability to utilize generative AI tools responsibly and validate AI-generated content • Understanding of ethical, confidentiality, cybersecurity, privilege, and client-specific considerations associated with AI use in legal practice • Strong project management skills coordinating complex transactions and multiple stakeholders • Excellent organizational, analytical, technical, critical-thinking, proofreading, writing, interpersonal, verbal, and written communication skills • Ability to work independently, manage multiple priorities, meet strict deadlines, and adapt to workflow changes • Must have flexibility to travel on short notice for and on behalf of the Firm
