📋 Description

• Manage the complete contract lifecycle, including drafting, review, negotiation, execution, amendments, renewals, and termination • Lead negotiations for sales, licensing, rental, distribution, and other complex commercial agreements • Prepare and revise commercial agreements, Statements of Work, confidentiality agreements, amendments, and related contractual documents • Identify contractual, financial, legal, and operational risks and recommend mitigation strategies • Partner with Sales, Legal, Finance, business leaders, and other stakeholders to align contractual terms with business objectives • Review and negotiate intellectual property rights, licensing restrictions, and commercial usage provisions • Support compliance with applicable U.S. federal and state data privacy regulations and internal company policies • Provide contractual terms, conditions, and responses for commercial proposals and customer requests • Interpret contractual obligations, advise stakeholders, and support resolution of contractual issues • Streamline contract workflows, improve turnaround times, strengthen risk management, and increase operational efficiency • Use generative AI tools responsibly for contract review, drafting, research, analysis, and process optimization

🎯 Requirements

• Bachelor's degree in Business Administration, Finance, Law, or a related field • Minimum 10 years of professional contract management experience, including drafting, reviewing, and negotiating commercial agreements • Extensive experience managing sales, licensing, distribution, rental, Statements of Work, confidentiality, and technology-related agreements • Strong understanding of commercial contract construction, licensing provisions, and intellectual property rights • Working knowledge of U.S. federal and state data privacy regulations • Excellent contract negotiation, analytical, problem-solving, and decision-making skills • Ability to collaborate with cross-functional stakeholders and communicate effectively at different organizational levels • Excellent written and verbal communication skills • Proficiency in Microsoft Word and Excel • Proficiency in using generative AI tools effectively and responsibly for contract-related activities • Strong organizational skills, attention to detail, and ability to manage competing priorities and deadlines • Must reside in the United States • Must be available during Central or Eastern Time core business hours • Preferred: Juris Doctor degree • Preferred: Experience in educational publishing, digital learning, SaaS, technology licensing, or related industries • Preferred: Familiarity with Contract Lifecycle Management platforms • Preferred: Experience negotiating digital products, content licensing, or intellectual property agreements • Preferred: Experience supporting commercial proposals, RFPs, or RFIs
