📋 Description

• Draft, review, and negotiate complex commercial agreements, including SaaS licenses, vendor contracts, and partnership/binder agreements • Support product development, underwriting authorities, and digital automation risks • Ensure compliance with provincial insurance regulators such as RIBO across Canadian operating provinces • Assist the General Counsel in preparing Board of Directors materials • Provide legal guidance to the internal Claims/Errors & Omissions team on complex files, litigation, and risk mitigation • Serve as enterprise privacy authority and maintain the data protection framework with the Information Security Officer • Develop, maintain, and oversee Privacy Impact Assessments • Lead legal response to data security incidents and privacy inquiries • Manage breach notification assessments and transparent reporting • Develop and deliver compliance and privacy training for 350+ staff • Establish ethical and legal guardrails for AI, machine learning, and AI-driven underwriting tools • Monitor emerging Canadian technology regulations • Review digital, online, and traditional marketing initiatives for regulatory compliance • Support the GC/CECO in maintaining and evolving the corporate Ethics and Compliance program

🎯 Requirements

• Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) degree • Active member in good standing with a Canadian common law society, e.g. Law Society of Ontario • 6 to 10+ years of post-call experience • Experience blending top-tier law firm training with in-house experience in property & casualty insurance, fintech, or broader financial services • Deep familiarity with the Canadian insurance regulatory landscape, digital brokerage models, and MGA structures • Comfort advising on digital technology, online platforms, AI, and advanced tools • Demonstrated expertise in data protection law • Professional privacy certification such as CIPP/C highly preferred and considered a significant asset • Proven ability to navigate a corporate transition from startup to regulated corporate structure • Ability to formalize corporate governance without stifling innovation • Exceptional communication skills • Ability to translate complex legal risks into solution-oriented business advice for non-legal stakeholders • Corporate diplomacy to work across a tech startup and Fortune 500 parent company environment
