• Advise on shareholder matters including loans, guarantees, securities, restructures, disputes and exits • Provide strategic guidance on corporate governance and risk across multiple entities • Coordinate and manage international legal advisors and cross-border legal strategy • Draft and negotiate high-level legal documentation, including shareholder agreements, corporate resolutions and commercial contracts • Support litigation preparation and dispute strategy where required • Deliver clear, practical legal advice aligned with commercial outcomes.
• Admitted Attorney (SA or equivalent common-law jurisdiction) • 8-10+ years post-articles experience • Strong corporate and commercial law background with deep shareholder governance exposure • Proven experience working across international jurisdictions • Confident operating independently at senior level and advising executives/shareholders • High discretion, sound judgment and strong commercial mindset. • Advantageous experience in commercial property or property development exposure. • Russian language skills. • Experience working in or with Russian jurisdictions.
