📋 Description

• Review, draft, and negotiate customer, supplier, and partner agreements under US law, including SaaS terms, order forms, NDAs, and DPAs • Provide clear recommendations and remain involved until signature or resolution • Own AI-specific contracting issues involving data use and training, output ownership, liability, and warranties • Lead legal readiness for enterprise deals and diligence • Maintain usable templates, negotiation positions, and an organised contract archive • Own practical data-protection work and translate regulatory or specialist advice into actions with owners and deadlines • Manage external counsel, including briefs, budgets, advice, coordination of other jurisdictions, and specialist matters • Support fundraising and corporate transactions • Help Finance maintain records, approvals, filing deadlines, and authorities across US, Polish, and German entities • Improve legal intake, drafting, and tracking with approved AI tools and human review • Build the first dedicated legal function and shape its future development

🎯 Requirements

• Admitted to practise in a US state • Hands-on experience drafting and negotiating US-law commercial contracts • Ability to personally handle SaaS terms, order forms, NDAs, and DPAs • Commercial judgment to distinguish material business risk from drafting preference and propose workable alternatives • Ability to own matters end to end, including negotiation, resolution, obligation tracking, administrative follow-through, and early escalation • Ability to run the US-law core and coordinate other jurisdictions, especially the EU • Knowledge of when to engage local or specialist counsel • Precise written and spoken English • Organised, discreet, and proactive working style • GDPR familiarity, B2B software or AI experience, and AI/data contracting experience are advantageous • Experience with venture-backed companies and financing rounds is advantageous • Experience with multi-entity or cross-border corporate management is advantageous • Experience with enterprise procurement and security reviews is advantageous
