📋 Description

• Provide clear, commercially focused legal advice to SME and business clients on corporate matters • Advise on corporate restructures, including share-for-share exchanges and demergers • Advise on company and business sales and acquisitions • Advise on investments and share issues • Advise on corporate governance • Draft, review, and negotiate shareholders’ agreements, articles of association, loan agreements, and share purchase agreements • Build trusted client relationships and deliver pragmatic, tailored legal solutions • Support pitches and proposals • Identify opportunities to expand existing client relationships • Attend networking events and contribute to profile-raising activities • Develop emerging client relationships over time • Collaborate with accountancy partners across the Sumer group • Assist senior fee earners on complex transactions and client management

🎯 Requirements

• Qualified solicitor in England & Wales • Approximately 0–2 years’ PQE in corporate law • Solid experience advising on corporate transactions, particularly for SMEs, founders, and owner-managed businesses • Commercial mindset with ability to provide practical, solutions-driven advice • Strong drafting and negotiation skills across corporate documents • Good organisational skills and ability to manage multiple matters and deadlines • Interest in and aptitude for business development • Willingness to participate in networking, client relationship building, and growth initiatives • Collaborative approach and confidence working with legal and accountancy teams
