📋 Description

• Review private fund sales reports and employee stock option plans, identify applicable exemptions, prepare Blue Sky charts, and prepare and file Blue Sky notice filings • Prepare Blue Sky charts with exemptions and initial and renewal filing requirements • Prepare Blue Sky notice filings for all 50 states, including California and New York requirements, using the EFD filing system • Calculate fees and prepare electronic and paper Blue Sky notice filings for Regulation A Tier 2 offerings • Prepare and manage Blue Sky filings, including Form D, Rule 506 exemptions, Reg D, and Reg A compliance • Conduct detailed state-level Blue Sky research and assist with filings across multiple jurisdictions • Maintain knowledge of Blue Sky laws, SEC EDGAR filing requirements, and NASAA EFD processes • Monitor deadlines, renewals, and state-specific compliance obligations • Maintain and track offering documentation, including PPMs, subscription agreements, and investor information • Ensure filings, procedures, and communications meet company and client compliance standards • Protect client confidentiality and follow firm-approved operational policies • Collaborate with team members and client stakeholders to complete filings and projects on time • Perform additional related duties as assigned

🎯 Requirements

• Specialized experience in Blue Sky and securities law, particularly with private funds and Reg D filings • Familiarity with state securities regulators, EDGAR, and NASAA EFD systems • Demonstrated success working in a law firm or compliance-focused environment • Experience using multiple case management or compliance platforms preferred • Proven ability to delegate work and monitor assigned tasks • Strong organizational and project management skills, with ability to manage multiple workflows simultaneously • Excellent attention to detail and proactive problem-solving approach • Strong client communication and customer service skills via phone, email, and written correspondence • Comfort researching state-specific rules, exemptions, and filing processes • Proficiency in Microsoft Office Suite, Adobe Acrobat Pro, and case management software • Experience with compliance tracking platforms, fund administration tools, or similar systems • Ability to work independently and collaboratively with attorneys, clients, and team members • Ability to meet deadlines in a fast-paced, deadline-driven environment
