📋 Description

• Prepare and file SEC documents, including Form 8-K, Section 16(a) filings, and periodic reporting on Forms 10-Q and 10-K • Assist with state registrations and compliance, including annual reports and business licenses • Coordinate corporate governance activities throughout the Autolus group, including subsidiaries in the United Kingdom, Germany, and Switzerland • Maintain and organize corporate records, including minute books, resolutions, and bylaws • Support corporate transactions, including financings, mergers, and acquisitions • Conduct legal research and provide updates and analysis on various corporate legal matters • Coordinate with external counsel and regulatory agencies as needed

🎯 Requirements

• Minimum of 5–7 years of experience as a corporate paralegal in a corporate legal department or law firm, focused on SEC filings and state registrations • Experience managing corporate governance activities for entities in the United Kingdom, Germany, and/or Switzerland preferred • Paralegal certification from an accredited institution preferred • Bachelor's degree in Paralegal Studies, Legal Studies, or a related field preferred • Strong knowledge of federal and state securities laws and regulations • Detailed understanding of corporate governance and related compliance matters • Excellent written and verbal communication skills • Ability to manage multiple tasks and prioritize effectively • Detail-oriented with strong organizational skills • Ability to work independently and as part of a team • Proficiency in legal research tools and software
