• Lead annual compliance requirements and governance processes for entities in EMEA, South America, and APAC • Prepare entity governance documents, including consents, resolutions, minutes, extracts, POAs, intercompany agreements, organizational charts, and formation documents • Manage officer and director onboarding/offboarding and statutory filings and registrations • Lead annual general meetings and board meetings; prepare notices, materials, and agendas • Draft authority and verification certificates • Respond to regulatory inquiries, audits, and third-party information requests • Maintain and improve records, databases, and minute books • Monitor and calendar compliance deadlines, annual meetings, and governance events • Support entity formations, dissolutions, mergers, and acquisitions • Manage U.S. registrations across all 50 states and U.S. territories • Build out and manage the entity management system and database • Support audit requests, reporting summaries, and tracking • Assist with shareholder lifecycle processes, election committees, and share issuance/repurchase • Create electronic files, spreadsheets, checklists, and governance databases • Liaise with internal stakeholders, external counsel, and third parties • Monitor regulatory developments and educate management, Governance, and Finance teams • Improve, simplify, standardize, and scale Governance team processes • Store, track, and destroy business records according to Data Privacy policies • Perform limited entity-related expense report and billing tasks • Lead or participate in additional Governance team projects
• Bachelor's degree • Minimum of 15 years of directly relevant experience managing U.S. and international entity governance in-house or at a law firm • Technology-forward and comfortable exploring AI to improve workflows • Experience working with boards of directors, senior management, and cross-functional teams • Excellent writing, proofreading, and editing skills • Ability to multitask, maintain attention to detail, and stay organized • Self-motivated, able to accomplish tasks with little oversight • Excellent time management and prioritization skills, including change flexibility • Solid judgment, initiative, and ability to identify efficient processes • High integrity and discretion when handling confidential information • Excellent client relationship skills • Ability to work independently and collaboratively with employees at all levels, including executives • Ability to read, create, and interpret basic to moderately complex legal documents • Proficiency in Microsoft 365, including Word, SharePoint, Excel, PowerPoint, and Adobe Acrobat Pro • Paralegal certificate preferred
