📋 Description

• Draft, review and negotiate a broad range of commercial agreements for customer and vendor transactions • Independently manage routine and moderately complex commercial negotiations from intake through execution • Identify material legal and business risks and develop practical solutions • Determine when matters can be resolved within established parameters and when escalation is needed • Translate business objectives and operational requirements into clear contractual terms • Partner with business teams to understand transaction context and distinguish material risks • Help design and implement scalable contracting intake, review, approval, signature, storage, renewal and post-execution processes • Develop and maintain contract templates, clause libraries, negotiation guidance, contracting playbooks and escalation standards • Administer, optimize and promote adoption of AI-enabled contract lifecycle management and contract review technology • Evaluate contracting practices and improve workflows, documentation, reporting, approvals and Legal team work allocation • Develop metrics and reporting for contract volume, cycle times, status, negotiation issues and renewal obligations • Maintain reliable contract records and promote consistent use of the contract repository and related systems • Identify recurring contractual issues and recommend changes to templates, guidance, training or business processes • Supervise, coach and develop internal contract specialists • Establish expectations for contract specialist work, attorney review and escalation • Review and support contract specialists’ work • Report to the General Counsel and collaborate with Sales, Finance, Procurement, Privacy, Information Security, Technology, Product, Marketing, Human Resources and other business functions

🎯 Requirements

• Juris Doctor from an accredited law school • Active membership in good standing in at least one U.S. state bar • Approximately 5–8 years of relevant legal experience, including meaningful responsibility for drafting and negotiating commercial agreements • Demonstrated experience negotiating agreements from both customer and vendor/procurement perspectives, or sufficiently broad commercial contracting experience • Substantive experience independently negotiating data processing agreements and privacy and data-protection provisions in commercial contracts • Working knowledge of GDPR and U.S. state privacy requirements • Experience using a contract lifecycle management system or comparable contract management technology • Experience using AI-enabled contract review, drafting, analysis or contract-management tools • Experience supervising, mentoring or directing contract specialists, paralegals or other legal professionals • Ability to independently manage a meaningful volume of contracts with competing deadlines and varying complexity • Prior in-house legal experience preferred • Experience implementing, improving or administering a contract lifecycle management system preferred • Experience creating or refining contract templates, clause libraries, negotiation playbooks, approval matrices or escalation procedures preferred • Familiarity with commercial technology, intellectual property, information security and AI-related contractual issues preferred
