📋 Description

• Serve as the primary legal advisor to CTS North America leadership on strategic business, operational, commercial, and regulatory matters • Draft, review, negotiate, and administer complex public-sector, government, transit agency, technology licensing, SaaS, vendor, supplier, partnership, intellectual property, data privacy, and cybersecurity agreements • Lead dispute resolution, litigation strategy, claims management, and regulatory investigations across North America • Advise business leaders on contract risk, commercial strategy, governance, ethics, and compliance • Support high-value customer negotiations and strategic business initiatives • Interpret and advise on transportation regulations, public procurement requirements, government contracting rules, and emerging regulatory frameworks • Direct ethics and compliance programs and oversee internal investigations • Collaborate with Human Resources, Finance, Integrated Supply Chain, Information Technology, and other functions • Manage outside counsel relationships and legal budgets • Develop practical, commercially focused legal solutions that support operational objectives while minimizing corporate risk

🎯 Requirements

• Juris Doctor (JD) from an American Bar Association-accredited law school • Active membership in good standing with a U.S. state bar • Ability to register as in-house counsel in California if required • Minimum of 15 years of progressive legal experience • Significant experience supporting complex commercial organizations • Extensive experience negotiating, drafting, and managing sophisticated commercial and government contracts • Strong background in public procurement, government contracting, and regulatory compliance • Experience advising executive leadership on strategic business and operational decisions • Expertise in claims management, dispute resolution, investigations, and litigation oversight • Strong understanding of corporate governance, ethics, risk management, and compliance frameworks • Exceptional written, verbal, negotiation, and executive presentation skills • Sound judgment in complex and high-profile situations • Preferred experience in transportation technology, mobility, transit systems, infrastructure, engineering, or government services • Preferred experience with public-sector customer relationships and government agency contracting • Preferred experience with technology licensing, software agreements, and intellectual property matters • Preferred experience with data privacy, cybersecurity, and information governance • Preferred experience in regulatory compliance within highly regulated industries • Preferred experience leading legal support for large-scale customer programs and strategic business partnerships
