📋 Description

• Direct corporate governance at Deepgram and build systems supporting clear, confident decision-making • Drive the legal roadmap for IPO readiness, including compliance frameworks, future SEC reporting structures, and internal governance policies • Prepare, structure, and execute financings • Lead M&A legal work from initial discussions through integration • Partner with Finance and People on employee equity, compensation programs, cap table, and secondaries • Design legal and business processes for scaling globally with international subsidiaries • Track worldwide regulatory developments affecting corporate structure and governance and translate them into actionable company positions • Build an AI-native corporate practice with scalable workflows and systems • Handle the breadth of legal issues associated with a fast-growing startup • Report directly to the General Counsel and help establish a scalable legal function

🎯 Requirements

• JD from a U.S. accredited law school • 7–15 years of experience in legal practice (or more), in-house, at a firm, or both • Demonstrated strength working with private, venture-backed companies on a high-growth trajectory, including IPO readiness • Experience with IPO readiness, financings, M&A, governance, Board matters, employee equity, and international structures; depth in at least some areas and willingness to learn the rest • Comfort providing clear and actionable advice on grey-area legal issues • Exceptional writing that is precise, plain, and compelling • Experience taking a company public as an in-house lawyer is desirable • Hands-on experience with corporate and legal issues in the AI space is desirable • Must be located in the United States • Must indicate whether U.S. visa sponsorship is required
