📋 Description

• Provide frontline legal support for Ensono’s global sales and strategic revenue-generating commercial transactions • Set deal structure and strategy collaboratively • Review, draft, and negotiate complex transaction agreements • Identify and mitigate risks and explain contract risks and positions to the business • Provide risk assessments and commercial legal advice on relevant laws and regulations • Exercise judgment and delegated authority on wide-ranging issues • Coordinate across internal organizations to resolve issues and ensure compliance • Vet contract issues and requests, track responses, and draft feedback • Prepare and administer escalations as necessary • Advise on existing contracts, contractual obligations, and contract disputes • Develop and implement solutions to deal roadblocks through problem-solving, stakeholder alignment, and negotiation • Project manage multiple deals to closure simultaneously • Present training to client groups on transaction legal issues and strategies • Improve the transaction support process • Partner with Sales, Delivery, Finance, Security, Privacy, and executive leadership • Limited travel may be required

🎯 Requirements

• Demonstrated success in complex contract review, drafting and negotiation for sales/outsource transactions involving IT outsourcing contracts • General understanding of data privacy laws and regulations and their impact on commercial transactions • Experience with all aspects of commercial transactions, including basic financials and non-pricing business issues and contract terms • Familiarity with all phases of sales/outsource contracting, from pre-contract Requests for Proposals/Bids through negotiation, execution, and post-contract legal support • Experience contracting with state and local government clients • Experience interacting with sophisticated enterprise customers and third-party representatives • Entrepreneurial, quick-thinking, pragmatic, business-oriented advice and recommendations • Excellent verbal and written communication skills, including ability to summarize issues to clients/management • Ability to counsel clients on legal and business risks while advancing negotiations • Ability to work independently with little supervision in a fast-paced environment • Ability to assess risks, benefits, and consequences of business decisions • Project management and organizational skills for managing multiple complex transactions • Ability to prioritize deadlines and achieve results under pressure • Initiative to develop, lead, and implement contracting-process improvement projects • Strong work ethic and responsibility for high-quality work product • Ability to negotiate complex commercial agreements and facilitate successful deal completion • Strong commercial judgment and ability to recommend practical paths forward • Ability to balance legal, operational, and financial considerations while supporting business growth • 3–5 years of recent experience supporting complex commercial transactions in an IT Managed Service Provider environment • Direct experience negotiating outsourcing, managed services, consulting services, and other technology-related commercial agreements • J.D. from an accredited law school • Active bar admission in at least one US jurisdiction
