📋 Description

• Draft, review, negotiate, and manage complex commercial agreements, including master supply agreements, procurement contracts, statements of work, licensing agreements, logistics agreements, manufacturing agreements, and strategic supplier partnerships. • Provide practical legal guidance on global supply chain matters, including sourcing strategies, supplier qualification and onboarding, contract management, business continuity planning, and dispute resolution. • Advise business leaders on legal and regulatory requirements affecting global supply chain operations, including import/export controls, customs compliance, ITAR, EAR, anti-bribery and anti-corruption laws, sanctions, human rights regulations, and environmental compliance. • Identify, assess, and mitigate legal and commercial risks related to supplier performance, supply disruptions, force majeure events, intellectual property protection, product liability, cybersecurity, data privacy, and regulatory enforcement. • Partner with procurement and supply chain teams on contracting strategies for key supplier relationships and high-value commercial transactions. • Support vendor management and third-party risk programs, including due diligence, compliance reviews, and ongoing supplier governance. • Assist with investigations, claims, disputes, and litigation involving suppliers, customers, logistics providers, and other business partners. • Develop and deliver training programs, policies, and guidance documents to improve legal and compliance awareness. • Monitor and interpret emerging laws, regulations, and industry trends affecting global manufacturing, supply chain operations, sustainability, and responsible sourcing. • Collaborate with cross-functional stakeholders and external counsel to resolve legal matters while supporting business objectives.

🎯 Requirements

• Juris Doctor (J.D.) degree from an ABA-accredited law school. • Active license and good standing to practice law in at least one U.S. jurisdiction. • Minimum of 10 years of legal experience, including significant experience supporting commercial transactions, procurement, supply chain, manufacturing, or technology organizations. • Demonstrated expertise drafting, negotiating, and advising on complex domestic and international commercial agreements. • Strong knowledge of global trade regulations, import/export controls, customs matters, sanctions programs, and international compliance frameworks. • Experience advising multinational businesses operating in highly regulated and fast-paced environments. • Proven ability to balance legal risk with commercial objectives and provide pragmatic, solutions-oriented legal counsel. • Strong understanding of supply chain risk management, supplier governance, and third-party compliance programs. • Excellent analytical, negotiation, communication, and stakeholder management skills. • Ability to influence cross-functional teams and build trusted relationships with leaders at all levels of the organization. • Experience supporting global manufacturing, electronics, technology, industrial, aerospace, defense, or other complex supply chain environments is highly preferred.
