📋 Description

• Serve as a player-coach while balancing a selective personal docket with leadership of a small, high-performing team • Handle entity formation, initial structuring, and core governance documents • Advise on ownership, capital structuring, executive compensation, board operations, corporate authority, and shareholder relations • Negotiate joint venture, licensing, distribution, co-marketing, commercial, vendor, customer, and SaaS agreements • Support capital raises, investor diligence, debt financing, credit facilities, secured and unsecured loans, lines of credit, and UCC filings • Run mergers, acquisitions, business-asset sales, and buy-side and sell-side due diligence • Represent franchisors and franchisees • Advise on enterprise risk management, insurance, indemnity, compliance, D&O coverage, data privacy, records retention, incident plans, tax issues, asset protection, and estate-planning alignment • Handle crisis corporate actions, restructures, business wind-downs, and dissolutions • Run weekly team operating meetings and review scorecards, staffing, case mix, SLA health, risks, and priorities • Ensure work distribution and throughput meet utilization and SLA targets • Drive adoption of playbooks, templates, matter plans, technology, checklists, and QA standards • Coach attorneys and paralegals • Own client satisfaction, retention, and expansion across the team portfolio • Maintain alignment calls and decision logs • Maintain a select personal docket focused on high-impact negotiations, governance counseling, and complex structuring • Partner with Practice Area Managers on data integrity, dashboard health, and early-warning signals • Own personal production and aggregate team output, process and technology optimization, client relationships, mentoring, and cross-team handoffs

🎯 Requirements

• JD and active membership in the Florida Bar • 7–10+ years of transactional experience with clear leadership signals, including delegation, coaching, and judgment • Track record leading negotiations and closings and managing complex workflows • Strength in triage, prioritization, and team communication • Comfort operating in a structured, scorecard-driven environment • Preferred: first-chair experience on significant M&A or strategic transactions • Preferred: experience with multistate, multi-entity, or complex commercial structures • Preferred: prior player-coach or team-lead experience
