📋 Description

• Lead and support strategic transactions, including joint ventures, strategic investments, acquisitions, dispositions, spinouts, restructurings, and other complex corporate transactions • Advise the General Counsel, executive team, and business leaders on corporate legal matters and strategic initiatives • Work cross-functionally with finance, tax, accounting, people, and other teams to structure and execute strategic corporate initiatives • Advise on corporate finance and treasury matters, including equity and debt financings and other capital-related transactions • Partner with the People team on employment, executive compensation, equity and token compensation, and employee-related matters • Support international operations and corporate structure, including formation and governance of subsidiaries and other entities • Draft, review, and negotiate transaction documents, corporate agreements, Board and stockholder materials, policies, and other legal documentation • Identify legal and business risks, develop practical solutions, and communicate recommendations to senior stakeholders • Manage outside counsel and other external advisors • Develop and improve corporate legal processes, policies, templates, and systems • Stay informed about legal and industry developments relevant to Mysten Labs and the broader web3 ecosystem • Take on other legal and strategic projects as needed • Report to the General Counsel

🎯 Requirements

• 8+ years of relevant legal experience • Significant experience at a leading law firm and/or in the legal department of a high-growth technology company • Strong foundation in corporate law • Meaningful experience in corporate governance and complex corporate transactions • Experience with some combination of M&A, joint ventures, strategic investments, corporate restructurings, financings, subsidiary governance, or other strategic corporate matters • Ability to independently lead complex matters and coordinate cross-functional stakeholders • Ability and willingness to operate as a corporate generalist and develop expertise in unfamiliar areas • Excellent business judgment and ability to assess and weigh legal and business risk • Strong executive communication skills and ability to distill complex issues into clear, actionable, practical advice • Collaborative, solutions-oriented, and comfortable working across finance, tax, accounting, people, operations, and other functions • Self-starter with strong ownership and urgency in a fast-moving, lean legal team • Unquestioned integrity and sound judgment • Interest in blockchain technology and willingness to understand Mysten Labs’ business, technology, and ecosystem • J.D. from an accredited law school • Membership in at least one U.S. state bar • Eligibility to practice as in-house counsel in California • Employment contingent upon successful completion of a background check, which may include employment history, education credentials, criminal history, and other relevant information
