📋 Description

• Serve as the primary legal partner for Sales and Customer Success • Lead drafting, negotiation, and lifecycle management of commercial agreements, including Master Service Agreements, Order Forms, Change Orders, and Data Processing / Privacy Agreements • Build and maintain contract playbooks, standard positions, and fallback frameworks • Support and advise on inbound vendor and partner agreements involving sensitive data processing, AI subprocessors, or third-party integrations • Design and implement scalable legal processes, templates, and self-service resources • Own and administer the SpotDraft contract lifecycle management platform, including template management, workflow automation, approval routing, and reporting • Develop and maintain internal legal guides, FAQs, and training materials • Track and report on contract pipeline and key legal metrics • Partner with Product, Engineering, and Regulatory Affairs on AI governance, privacy compliance, and contractual frameworks governing AI use • Monitor legal and regulatory developments in AI and healthcare data, including HIPAA and emerging AI frameworks • Triage and resolve legal issues across Sales, Customer Success, Product, Engineering, Marketing, Finance, and People Operations • Build Legal's credibility and visibility through proactive communication and legal education

🎯 Requirements

• J.D. from an ABA-accredited law school • Active bar membership in good standing in at least one U.S. jurisdiction • 4–8 years of transactional legal experience with a substantive focus on commercial contracting • Experience acquired in-house, at a law firm, or a combination of both • Demonstrated experience building or significantly improving legal operations infrastructure • Experience standing up or materially enhancing a CLM platform • Experience building contract playbooks • Experience designing scalable legal workflows • Working knowledge of privacy law and healthcare data frameworks, including HIPAA • Experience negotiating sophisticated enterprise agreements, including multi-party deals and agreements involving data processing or AI-powered services • Practical, business-oriented approach to legal risk • Comfort with ambiguity, pace, and evolving priorities of a high-growth technology company
